Update on UAHN – Banner Health Merger

I am very pleased to provide you with an update about the merger of University of Arizona Health Network into Banner Health.  Peter Fine, CEO of Banner Health, will be sharing a similar communication with Banner employees and stakeholders.

I would like to acknowledge all the hard work done by the integration teams from the UA, UAHN and Banner Health who are helping to move an extremely complex undertaking forward through numerous questions and challenges. To date we have worked through more than 20,000 pages of due diligence materials, held public hearings for community input on Medicaid healthcare plans, and worked through possible legal queries related to hospital mergers.

All of that hard work has allowed us to set a closure date that provides the time to complete the remaining work. The closure date is January 31, 2015, with documents expected to be signed during the week of January 12, 2015.

Not only will these dates provide the time needed for our integration teams to complete their work, but they also will provide time to secure a comprehensive fairness opinion from an outside firm and bring the best possible agreement forward to the boards of directors and regents of the respective organizations for their approval. This schedule will also help ensure a smooth transition for employees, physicians, and patients.

I want to thank all those who helped bring us to this point. The proposals under discussion will enable a bright future for medical education and innovation at the UA and top-quality patient care in Tucson and throughout Arizona.
